New Jersey LLC Fees for 2026: Formation, Annual Report & Agent

Budgeting a New Jersey LLC is refreshingly quick, because the state publishes a short fee schedule and sticks to it. Every dollar below goes to the Division of Revenue and Enterprise Services (DORES), the Treasury office that runs the business registry, except for the clearly marked rows that are ours.

What does New Jersey charge to form an LLC?

$125, collected when your Certificate of Formation is recorded. The official DORES instructions state it plainly: $125 per filing for all domestic entities except nonprofits. Filing happens on the DORES formation portal, and the unnumbered paper route through the public records filing packet carries the same price tag. No numbered form exists for this filing, so ignore anyone selling you one.

What does the annual report run each year?

$75, due by the final day of your anniversary month, payable only through the online annual report portal because paper reports are not accepted. Card payments add a $3 processing charge; eCheck adds $1. New Jersey imposes no flat late fine on a tardy report, but let two consecutive years lapse and the state can revoke your charter.

What about changing your registered agent?

That filing is $25, either on Form L-122 (the Certificate of Change) or handled inside your annual report as a $25 add-on.
