The Due Date Follows Your Anniversary
Whatever month your Certificate of Formation was recorded, the report is due by the last day of that same month every year going forward, starting the year after formation. A company formed in August files by August 31 annually. Registered a foreign LLC here? Your clock runs from the month New Jersey granted your authority, not your home-state birthday.
The Report Fee Is $75
Seventy-five dollars flat, every LLC, every year. The portal tacks on $3 if you pay by card or $1 by eCheck. Need to update your registered agent or registered office while you are in there? The state charges $25 more for that change.

The Penalty Is a Clock, Not a Fine
Miss your month and New Jersey does not hit you with a late fee, because the statute does not create one for LLC reports. What it creates instead is a countdown: after two consecutive unfiled years, the state can revoke the charter of a domestic LLC or the authority of a foreign one. Reinstatement means filing everything you skipped and paying it all at once, so the smart play is never letting the clock start.
Two Other Things the State Expects
- A registered agent at a New Jersey street address, continuously. The annual report is where lapses get noticed, and fixing one there runs $25 (Form L-122 does the same job between reports for the same fee).
- Accurate registry information. Moves, management changes, and agent swaps should reach DORES promptly rather than waiting for report season.
